Terms of Use for Online Shop
Regarding the Use of the Klüber Lubrication Online Shop
Unrestricted access to the Klüber Lubrication online shop requires prior registration of a user account by the customer. These terms of use govern the rules for registration, access, and use of the online shop.
1. Scope
These terms apply to the use of the B2B online shop by registered business customers. Use is strictly limited to business entities
Natural or legal persons or partnerships with legal capacity acting in the course of their commercial or independent professional activity.
Use by consumers as defined in § 1 KSchG is expressly excluded. The online shop is not intended for end consumers or private use.
Use requires that the customer acts as a business entity under § KSchG.
2. User Management
The customer is solely responsible for creating, maintaining, and deleting user accounts within their organization.
Only authorized employees may be granted access; roles and permissions must reflect actual responsibilities. The customer independently decides on the assignment of application permissions. Klüber Lubrication cannot modify these permissions.
Roles and permissions can be assigned individually (e.g., Admin, Buyer, Viewer).
Only business email addresses clearly linked to the company may be used for user management.
The provider offers technical functionalities but does not control the content of assigned permissions.
The customer must regularly update passwords and enable two-factor authentication where available.
Suspected unauthorized access must be reported to the provider immediately.
All webshop activities are logged and can be provided to the customer upon request.
GDPR Notice
Personal data is processed in accordance with the EU General Data Protection Regulation (GDPR).
The customer must inform users about data processing.
The provider processes data solely to deliver and improve webshop functionalities and fulfill contracts.
A privacy policy is available at any time via the imprint.
Only necessary data may be collected and must be regularly reviewed or deleted.
3. Contract Formation
Offers in the webshop are non-binding.
A contract is only formed upon explicit acceptance by the provider. The General Terms and Conditions apply and are available on a separate page in the webshop footer.
4. Permitted Use
Users agree to use the webshop only as intended.
Customers and users must not upload or transmit any unlawful content.
5. Customer Obligations
Ensure confidentiality of login credentials.
Do not share login credentials with third parties outside the organization.
Report suspected misuse immediately.
6. Provider Rights
The provider may block or delete user accounts in case of violations.
The provider reserves the right to change the terms of use at any time.
If the customer does not object within 14 days, changes are deemed accepted.
7. Liability
The provider is liable only for damages caused by intentional or grossly negligent conduct.
No liability for indirect damages, lost profits, or data loss unless legally required.
The customer is liable for all activities conducted through their user accounts.
Access to the webshop is restricted to users with company-specific email domains (e.g.,*@company.de)
The provider reserves the right to reject or block registrations using generic or private domains (e.g., *@gmail.com,*@web.de)
The provider accepts no liability for damages or misuse resulting from unauthorized or non-identifiable domains.
The customer indemnifies the provider against third-party claims arising from misuse of non-company-specific domains or faulty user management.
The provider strives for high availability but does not guarantee uninterrupted use.
Maintenance and updates will be announced as early as possible.
8. Violations of Terms of Use
Examples: misuse of user rights, false registration information, breach of security or data protection rules.
Measures: warning, temporary suspension, permanent suspension, or deletion.
The provider may take legal action in case of serious violations.
9. Communication
Communication occurs either within the platform via data entered into the application or through electronic transmission (e.g., email) to the recipient’s communication system.
10. Confidentiality
Both parties agree to treat all confidential information, technical, commercial, or organizational, discovered during webshop use as confidential for the duration of the business relationship and use it only for contractually agreed purposes. Any separately agreed confidentiality agreements take precedence.
11. Data Backup and Retention
The partner is responsible for retaining data to meet legal obligations. They must ensure adequate and state-of-the-art data backup outside the webshop.
12. Jurisdiction and Applicable Law
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods.
Jurisdiction is Salzburg.
13. Severability Clause
If any provision is invalid, the validity of the remaining provisions remains unaffected.
